General Financial, Legal, and Algorithmic Platform Risk
Algorithmic Trading Software Only; No Advisory Relationship
Neptune AI IS AN ALGORITHMIC TRADING SOFTWARE PLATFORM. Neptune AI IS A TECHNOLOGY PROVIDER AND IS NOT A BROKER-DEALER, REGISTERED INVESTMENT ADVISER, COMMODITY TRADING ADVISER, COMMODITY POOL OPERATOR, FINANCIAL PLANNER, TAX ADVISER, LAW FIRM, SECURITIES EXCHANGE, CLEARINGHOUSE, CUSTODIAN, OR FIDUCIARY.
No feature, algorithm, automated strategy, technical indicator, condition rule, super indicator, buy/sell signal, hold/exit optimization, AI insight, score, ranking, chart, watchlist, prompt, model output, notification, data point, or interface element is individualized financial, legal, tax, accounting, brokerage, investment, or trading advice. Nothing in the Services is an offer, solicitation, endorsement, instruction, or recommendation to buy, sell, hold, short, hedge, or trade any security, equity, option, futures contract, foreign exchange instrument, cryptocurrency, or other financial product.
Self-Directed Algorithmic Execution and Assumption of Risk
You are solely responsible for your trading strategies, algorithm selection, parameter configuration, risk thresholds (such as stop-loss levels, position sizing, and maximum portfolio allocation), broker API connections, order review, execution monitoring, tax consequences, and financial decisions. By enabling automated or algorithmic execution, you authorize the software to evaluate market data and transmit order instructions to your connected third-party brokerage account in accordance with your configured strategy parameters. You agree not to rely on the Services as the sole basis for any financial decision.
Trading and investing are inherently risky. Algorithmic execution, equities trading, short selling, and the use of margin involve substantial risk of rapid and significant loss. You may lose some or all of your capital, including more than your initial deposit when using margin, options, short selling, or leveraged facilities provided by your broker.
No Guarantee of Availability, Execution, Accuracy, or Profit
The Services and automated order routing rely on third-party networks, APIs, and market feeds. The Services may be unavailable, delayed, incomplete, inaccurate, interrupted, or affected by software defects, algorithmic model errors, market disruptions, exchange halts, brokerage rate limits, third-party outages, stale data, calculation errors, security events, maintenance, or network failures. Neptune AI does not guarantee profit, return, target performance metrics (including win/loss targets), execution quality, fill price, signal accuracy, model accuracy, risk reduction, or portfolio performance.
Liability Allocation
TO THE FULLEST EXTENT PERMITTED BY LAW, Neptune AI AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, DATA PROVIDERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR TRADING LOSSES, MARKET LOSSES, LOST PROFITS, LOST REVENUE, LOST DATA, LOST OPPORTUNITIES, BUSINESS INTERRUPTION, REPUTATIONAL HARM, CONSEQUENTIAL DAMAGES, INCIDENTAL DAMAGES, SPECIAL DAMAGES, EXEMPLARY DAMAGES, PUNITIVE DAMAGES, OR DAMAGES ARISING FROM USE OF OR RELIANCE ON THE SERVICES OR AUTOMATED STRATEGY EXECUTION.
If liability cannot be excluded, Neptune AI's total aggregate liability for all claims relating to the Services will not exceed the lesser of (a) amounts you paid to Neptune AI for the Services in the twelve (12) months before the event giving rise to the claim, or (b) USD $100.
Algorithmic Execution, Automation, and Artificial Intelligence
Automated Strategy and Algorithmic Execution Risk
Algorithmic trading involves automated signal evaluation, condition scanning, and programmatic order submission to user-connected brokerages (such as Alpaca Markets). Automated systems operate at high speed. Rapid market movements, flash crashes, sudden illiquidity, price gaps between sessions, network latency, broker API errors, order queue delays, or user configuration mistakes can cause orders to execute at prices significantly different from expected trigger prices (slippage) or fail to execute entirely. Automated strategies will continue to evaluate rules and execute orders programmatically until paused, disabled, or disconnected by the user.
AI Outputs and Quantitative Models Are Probabilistic and Fallible
The Services may utilize large language models (LLMs), machine learning systems, statistical models, technical indicator evaluators (e.g., MACD, RSI, Bollinger Bands, Stochastic Oscillators), composite scoring algorithms ("super indicators"), and third-party AI infrastructure. These systems are probabilistic and fallible. They may produce hallucinations, false statements, stale conclusions, incomplete market analysis, incorrect indicator calculations, unsuitable outputs, or misleading confidence scores.
Algorithmic Signals and Technical Triggers Are Not Instructions
Labels, scores, conviction ratings, "buy", "sell", "hold", "exit", "breakout", "momentum", "mean reversion", "bull", "bear", "super indicator", "risk", "impact", "confidence", "thesis", or similar tags are algorithmic software classifications and mathematical computations. They are not personalized recommendations, guaranteed trading instructions, or promises of market direction.
Model Drift, Market Regime Changes, and Active Supervision
- Model drift & regime shifts: Algorithmic parameters, condition mappings, and indicator rules calibrated on past market regimes may degrade or fail when volatility, liquidity, interest rates, or market dynamics shift.
- Prompt & data sensitivity: Variations in news feeds, earnings events, or prompt phrasing may materially alter AI-generated insights.
- Automation risk: Automated workflows can amplify stale data, connection disconnects, order-routing errors, and user configuration mistakes.
- Active supervision required: You must maintain active supervision over your automated strategies, review open positions and orders, and ensure your broker account settings align with your risk tolerance.
No Training, Benchmarking, or Extraction Rights
AI outputs, model behavior, prompts, indicator calculations, strategy workflows, condition logic, and interface responses are part of the protected Neptune AI platform. You may not use them to train, fine-tune, distill, benchmark, validate, reverse engineer, replicate, or build a competing product or service without written permission.
Hypothetical, Simulated, Backtested, and Paper Trading Performance
CFTC Rule 4.41 Notice
Hypothetical or simulated performance results have certain inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading. Since trades have not been executed, results may have under- or over-compensated for the impact, if any, of market factors such as lack of liquidity. Simulated trading programs are also generally designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
Paper Trading and Simulated Execution Limitations
Paper trading, backtests, strategy simulations, hypothetical equity curves, projected returns, target win/loss metrics, rankings, watchlists, and historical condition evaluations are simulated software displays. Unlike live market execution, paper trading and backtesting do not risk real capital and do not experience real-world execution friction, including bid-ask spread expansion, execution slippage during fast markets, broker commissions, regulatory fees, borrow fees for short positions, margin interest, order queue priority, partial fills, or broker-side trade rejections.
Past Performance and Target Objectives Are Not Guarantees
Past performance, historical technical backtests, paper trading track records, and operational targets are not reliable indicators, promises, or guarantees of future live trading results. Market regimes change. Strategies that appeared profitable in historical simulations or paper trading may experience immediate, substantial, or permanent capital losses in live trading.
User-Configured Parameters
Performance displays, backtest metrics, and simulated tracking depend on user-selected timeframes, condition combinations, symbol watchlists, and calculation assumptions. You are responsible for independently verifying all parameters and assumptions before deploying live capital.
Equities, Algorithmic Execution, Margin, and Trading Risks
WARNING: ACTIVE TRADING, ALGORITHMIC EXECUTION, EQUITIES TRADING, INTRADAY EXECUTION, SHORT SELLING, OPTIONS, AND MARGIN FACILITIES CARRY A SUBSTANTIAL RISK OF RAPID AND SEVERE FINANCIAL LOSS.
Market, Execution, and Gap Risk
- Total loss: You can lose all capital allocated to an algorithmic strategy or brokerage account.
- Loss beyond deposit: Margin facilities, short positions, and leveraged accounts may generate losses exceeding your initial capital deposit.
- Execution & slippage: Orders transmitted via API may be rejected, delayed, partially filled, routed differently by the broker, or filled at prices worse than indicated by technical triggers.
- Gap and volatility risk: Stocks can gap significantly overnight, during earnings announcements, or on macroeconomic news, bypassing stop-loss orders and causing substantial losses.
- Operational risk: Internet outages, server downtime, broker API latency, webhook delays, or misconfigured strategy parameters can result in unintended orders.
Intraday Margin Requirements, Real-Time Risk Monitoring, and Leverage
Under amended FINRA Rule 4210 and US regulatory standards, day trading and intraday equity positions are governed by real-time, risk-based margin requirements rather than legacy static trade-count thresholds. Margin accounts involve borrowing funds from your broker, which magnifies both potential gains and losses. Brokers continuously evaluate your open intraday market exposure in real time. If your account equity falls below required margin maintenance levels, you may incur intraday margin deficits, margin calls, increased margin requirements, trading restrictions, or immediate forced liquidation of positions by your broker without prior notice. You must consult your broker for their specific intraday margin schedules, transition timelines, deficit remediation rules, and cash settlement policies.
Short Selling, Options, and Corporate Actions
Short selling involves borrowing shares to sell with the expectation of buying them back at a lower price. Short selling carries theoretically unlimited upside loss risk if the stock price rises sharply, as well as borrow fee costs, hard-to-borrow restrictions, and forced buy-in risk by the broker. Options can expire worthless and involve nonlinear risks. Stock splits, reverse splits, dividends, mergers, and ticker changes can also affect open positions and algorithmic calculations.
Extended-Hours Trading
When extended-hours execution is enabled, Neptune AI may place orders in the overnight, pre-market, and after-hours sessions. These orders are limit orders priced from the live quote and are cancelled if they do not fill within a few minutes. Trading outside regular hours carries additional risks: less liquidity and partial or no fills, greater volatility, wider bid-ask spreads, prices that may not hold at the next open, prices that differ between unlinked venues, and sharp moves on news released outside regular hours. Not every stock trades in every session.
Broker Integrations (Alpaca Markets), APIs, and Market Data
Independent Software Provider; No Broker Affiliation
Neptune AI connects to third-party brokerages (such as Alpaca Securities LLC / Alpaca Markets) via official APIs to transmit user-authorized order instructions and fetch account/position data. Neptune AI is an independent software provider and is not a broker-dealer, clearing firm, custodian, agent, partner, or affiliate of Alpaca Securities LLC or any other broker. Your brokerage relationship, account opening, funds custody, SIPC coverage, trade execution, and regulatory oversight reside entirely with your broker.
Broker API Limitations and Execution Outages
Broker APIs may reject orders, throttle request rates, experience outages, disconnect sessions, report stale balances, or fail to process cancellations. Neptune AI is not liable for broker-side errors, rejected orders, missed trading signals, delayed cancellations, execution slippage, forced liquidations, or account losses resulting from broker infrastructure or API downtime.
Market Data, Congressional Disclosures, and Indicator Feeds
Market data feeds, real-time and historical price bars, volume metrics, technical indicator calculations, Congressional trading disclosures (Senate and House disclosures), insider trading filings, and news sentiment feeds are obtained from third-party data providers (including Alpaca, Financial Modeling Prep, AlphaVantage, TwelveData, Finnhub, Tiingo, Marketstack, Intrinio, and TradingView) and public regulatory filings. Market data is provided for internal strategy evaluation only, is not redistributed as an official exchange feed, and may be delayed, indicative, stale, restated, or subject to upstream feed outages.
Statutory Filing Delays (STOCK Act & SEC Form 4): Under the Stop Trading on Congressional Knowledge (STOCK) Act, U.S. Senate and House Periodic Transaction Reports (PTRs) may be filed up to 30 to 45 days after the underlying transaction and are typically reported in broad dollar ranges (e.g., $1,001–$15,000) rather than exact share quantities. SEC Form 4 insider filings may be reported up to two (2) business days after execution and may reflect pre-scheduled Rule 10b5-1 plans, option exercises, or tax withholdings. Congressional, insider, and earnings data do not represent real-time institutional execution.
Trading Psychology, Journaling & Wellness Features
Any trading psychology, emotional discipline, tilt-detection, or AI-assisted journaling features within Neptune AI are provided solely for personal self-reflection and educational productivity. Neptune AI does not provide medical, clinical, psychological, psychiatric, or behavioral-health advice, diagnosis, or therapy. If you experience emotional distress, financial crisis, or compulsive trading behavior, stop trading immediately and contact a qualified professional or call/text the 988 Suicide & Crisis Lifeline (988 in the US/Canada) or the National Problem Gambling Helpline (1-800-GAMBLER).
API Key Security and Permission Scoping
You are solely responsible for generating, safeguarding, and managing your broker API keys (Key ID and Secret Key). You should utilize paper-trading API keys during strategy testing and restrict live trading keys. Never share your API credentials with unauthorized parties. Neptune AI strongly recommends revoking or regenerating API keys if you suspect any credential compromise.
Investor Guidance, Risk Controls, and User Responsibility
Review investor education materials from the U.S. Securities and Exchange Commission, FINRA, and CFTC.
Prudent Algorithmic Trading Safeguards
- Test in Paper First: Always thoroughly test algorithms, condition swaps, and risk settings in a paper-trading environment before deploying live capital.
- Establish Strict Risk Limits: Configure stop-loss rules, position size limits, and maximum loss thresholds per trade and across your overall portfolio.
- Trade Only With Risk Capital: Never trade with funds required for essential living expenses, emergency reserves, rent/mortgage, medical needs, or retirement savings you cannot afford to lose.
- Understand Intraday Margin & Broker Deficit Rules: Ensure your account maintains adequate equity and cash buffers to cover real-time intraday margin requirements and prevent margin deficits or forced liquidations by your broker.
- Maintain Active Supervision & Kill-Switch Access: Never leave live automated trading unattended. The Emergency Controls on the Neptune AI Home page let you pause algorithms, suspend API activity, stop orders, liquidate all positions, or cancel open orders. Suspending the API or stopping orders also blocks automated exits. Closing or selling off positions by voice is disabled, and AI chat actions that trade run only after you confirm them. Also maintain immediate access to your broker's direct portal or mobile app to manually close positions or cancel orders if Neptune AI is unavailable.
- Keep Independent Records: Independently verify and archive trade confirmations, monthly account statements, and tax documents directly from your broker.
No Real-Time Supervision or Fiduciary Duty
Neptune AI does not provide trade desk supervision, broker risk management, emergency position monitoring, or fiduciary oversight. You are solely responsible for monitoring your accounts, orders, positions, margin health, and market exposure at all times.
